1. Acceptance of terms
By creating an account, accessing, or using Invoicier, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the service.
If you are using Invoicier on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
We may update these Terms from time to time. When we make significant changes, we will notify you by email or by posting a notice on our website. Continued use of the platform after changes are posted constitutes acceptance of the updated Terms.
2. Description of service
Invoicier is a web-based e-invoicing platform that allows you to:
- Create, send, and receive electronic invoices via the Peppol network
- Generate and send PDF invoices by email
- Register and manage your Peppol ID
- Manage multiple company workspaces
- Invite team members with role-based access
- Track invoice status and history
We also provide free tools on our website, including a PDF invoice generator, Peppol company search, and EU VAT number checker. These tools may be used without creating an account.
3. Account registration and responsibilities
To use the Invoicier platform, you must create an account with a valid email address. You agree to:
- Provide accurate, complete, and current business information (company name, registry code, VAT number, address)
- Maintain the confidentiality of your account credentials
- Accept responsibility for all activities that occur under your account
- Notify us immediately at support@invoicier.com of any unauthorised use of your account
You must be at least 18 years old to create an account. We reserve the right to refuse service or close accounts that provide false or misleading information.
4. Acceptable use
You agree to use Invoicier only for lawful business purposes. You must not:
- Send fraudulent, false, or misleading invoices
- Impersonate another business or individual
- Use the service to facilitate money laundering, tax evasion, or any illegal activity
- Transmit malicious content, viruses, or harmful code
- Attempt to gain unauthorised access to other users' accounts or our systems
- Use automated scripts or bots to access the service without our written consent
- Resell or redistribute the service without authorisation
- Violate any applicable laws, regulations, or e-invoicing requirements
We reserve the right to investigate and take action against any violations, including suspension or termination of your account.
5. Pricing, payment, and cancellation
Invoicier offers a free plan and paid subscription plans. Current pricing is available at invoicier.com/pricing.
Billing: Paid plans are billed monthly in advance via Stripe. By subscribing to a paid plan, you authorise us to charge your payment method on a recurring basis.
Price changes: We may change our prices from time to time. If we increase prices, we will notify existing subscribers at least 30 days in advance. Price changes take effect at the start of the next billing period.
Cancellation: You may cancel your subscription at any time. Upon cancellation, your access to paid features continues until the end of the current billing period. No refunds are issued for the remaining portion of a billing period.
Downgrade: If you cancel a paid plan, your account will revert to the free plan at the end of the billing period. Your data will be retained, but features exclusive to paid plans will no longer be available.
6. Invoices and your data
You retain ownership of all invoice data and business information you submit to Invoicier. We do not claim any intellectual property rights over your content.
By using the service, you grant us a limited licence to process, store, and transmit your data as necessary to provide the invoicing service — including sending invoices via the Peppol network and by email.
Accuracy: You are solely responsible for the accuracy and completeness of invoices you create and send. Invoicier does not verify the correctness of invoice amounts, tax calculations, VAT numbers, or business details. It is your responsibility to ensure compliance with applicable tax and invoicing regulations in your jurisdiction.
Peppol network: When you send an invoice via the Peppol network, your business details (company name, address, VAT number, Peppol ID) are transmitted to the recipient and may be visible in the Peppol Directory. This is a standard requirement of the Peppol network.
7. Availability and service level
We strive to maintain high availability of the Invoicier platform, but we do not guarantee uninterrupted or error-free access. The service is provided on a best-effort basis.
We may temporarily suspend the service for maintenance, updates, or security reasons. Where possible, we will provide advance notice of planned downtime.
We are not liable for any losses or damages resulting from service interruptions, including delayed invoice delivery or temporary unavailability of the Peppol network.
8. Suspension and termination
By you: You may close your account at any time by contacting us at support@invoicier.com. Before account closure, you will have the option to export all your data (invoices, contacts, account details) as a downloadable ZIP file. After closure, your access will be revoked and a 30-day grace period begins during which your data remains available for export. After this period, all data is permanently deleted in accordance with our Privacy Policy.
Your responsibility: You are solely responsible for maintaining your own accounting and tax records as required by the laws of your jurisdiction. We strongly recommend exporting your data before or during the grace period. Invoicier does not retain data on your behalf after deletion.
By us: We reserve the right to suspend your account immediately, without prior notice, if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or pose a risk to other users or the integrity of the service.
For less severe violations, we will make reasonable efforts to notify you and give you an opportunity to remedy the issue before taking action. We may terminate accounts that remain in violation after notice.
Upon termination, your right to use the service ceases immediately. We are not liable for any losses resulting from suspension or termination of your account due to a violation of these Terms.
9. Intellectual property
The Invoicier platform, including its design, code, features, documentation, and branding, is owned by Invoicier and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property beyond the limited right to use the service as intended.
You may not copy, modify, distribute, sell, or create derivative works based on any part of the Invoicier platform without our prior written consent.
10. Limitation of liability
To the maximum extent permitted by applicable law:
- Invoicier is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
- We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the service.
- Our total aggregate liability for any claims arising from or related to the service shall not exceed the amount you paid to Invoicier in the 12 months preceding the claim.
- We are not liable for any losses caused by inaccurate invoice data you submit, delays in the Peppol network, or third-party service failures (Stripe, Peppol Access Points, email delivery).
Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law, including liability for fraud or gross negligence.
11. Indemnification
You agree to indemnify and hold harmless Invoicier, its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:
- Your use of the service
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Inaccurate or fraudulent invoices sent through your account
- Any dispute between you and an invoice recipient
12. Governing law and disputes
These Terms are governed by and construed in accordance with the laws of the Republic of Estonia, without regard to its conflict of laws provisions.
Any disputes arising from or relating to these Terms or the use of Invoicier shall be resolved in the courts of Harju County, Estonia.
If you are a consumer within the European Union, you retain any mandatory consumer protection rights granted under the laws of your country of residence. Nothing in these Terms affects your statutory rights as a consumer.
13. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
